These Terms of Service (“Terms”) govern your use of VerifiedID.vote (the “Service”) operated by Boulda LLC (“Company,” “we,” “us,” “our”). By accessing or using the Service, you agree to these Terms.

Terms

Rules and conditions for using the Service

1. Eligibility

You must be able to form a binding contract in your jurisdiction. If you use the Service on behalf of an entity, you represent you have authority to bind that entity.

2. Service Description

The Service allows Organizers to create voting campaigns and Responders to vote. Campaigns may include eligibility checks (e.g., token/NFT ownership and/or verifiable credential presentation).

3. Accounts, Wallets, and Verification

  • You may be required to connect a wallet and/or present a verifiable credential to access certain features.
  • You are responsible for maintaining the security of your wallet and any authentication methods you use.
  • We may enforce anti-abuse measures (rate limits, quotas, eligibility checks, duplicate submission prevention).
  • Votes are tied to wallet addresses for integrity and audit purposes.

4. Organizer Responsibilities

If you create or manage campaigns (“Organizers”), you agree:

  • You are solely responsible for campaign content (titles, descriptions, questions, answers, eligibility rules, and any media).
  • You will not create campaigns that violate laws, infringe rights, encourage wrongdoing, or contain prohibited content (see Section 7).
  • You understand eligibility checks may rely on third-party and/or public blockchain data and may not be perfect.
  • You are responsible for how you interpret and use results.
  • We may remove campaigns/content and/or suspend access at our discretion.

5. Responder Responsibilities

If you respond to campaigns (“Responders”), you agree:

  • Your submissions must be truthful to the extent applicable and not fraudulent.
  • You will not attempt to bypass eligibility checks, submit multiple votes where not allowed, or interfere with the Service.
  • You will not interfere with, attack, or disrupt the Service.

6. Fees, Quotas, and Changes

We may offer free and paid tiers, usage quotas, or limits. We may change features, limits, or availability at any time.

7. Prohibited Conduct and Content

You may not:

  • Violate any law or regulation;
  • Post or distribute content that is unlawful, harmful, threatening, harassing, defamatory, obscene, or otherwise objectionable;
  • Engage in hate speech, extremist content, or incitement of violence;
  • Infringe intellectual property or privacy rights;
  • Upload malware or attempt to gain unauthorized access;
  • Scrape, reverse engineer (except as permitted by law), or disrupt the Service;
  • Use the Service to conduct regulated elections (governmental/public elections) unless explicitly authorized and compliant with all applicable laws.

We reserve the right to remove campaigns/content and suspend access at our discretion.

8. User Content; License

“User Content” includes campaign content and responses you submit.

  • You retain ownership of your User Content.
  • You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and process User Content as necessary to operate the Service and provide features you choose (e.g., displaying campaigns and results).
  • You represent you have all rights needed to provide User Content.

9. Intellectual Property

The Service, including its software, design, and branding, is owned by Company and protected by intellectual property laws. You may not use our trademarks without permission.

10. Third-Party Services and Links

The Service may rely on third-party providers (e.g., blockchain nodes, identity verification components, hosting). We are not responsible for third-party services.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee uninterrupted, error-free operation, or that eligibility checks or results will be accurate or complete.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL.

IN NO EVENT WILL COMPANY’S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO COMPANY FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY (OR $1.00 IF YOU PAID NOTHING).

13. Indemnification

You agree to indemnify and hold Company harmless from claims arising out of your use of the Service, your User Content, or your violation of these Terms.

14. Termination

We may suspend or terminate access at any time for any reason, including suspected abuse or violations. You may stop using the Service at any time.

15. Governing Law; Venue

These Terms are governed by the laws of the State of Colorado, excluding conflict-of-law rules. Any dispute shall be brought in state or federal courts located in Colorado, unless applicable law requires otherwise.

16. Changes to Terms

We may update these Terms from time to time. Continued use after changes means you accept the updated Terms.
